Profile

Roy is a co-head of the firm’s Finance and Banking Department and a partner in the Commercial Department.

Roy leads the finance and banking practice at our firm. He possesses extensive expertise and professional experience in representing diverse financing transactions in Israel and abroad, both for lenders, banks, financial institutions, debt funds, and other non-bank entities, as well as for borrowers among the leading corporations in the market. Over the past few years, Roy has represented his clients in complex and prominent financing transactions across various fields, including acquisition financing, real estate financing and support, consortium financing, project and asset financing, mezzanine loans, and more. Roy specializes particularly in representing institutional entities (including insurance companies, provident and pension funds, investment houses, etc.) and has an in-depth understanding of institutional regulation. Roy’s clients are among the significant institutional entities in Israel.

Additionally, Roy provides legal guidance to private companies and various corporations on a range of commercial aspects, commercial transactions, and ongoing corporate matters throughout all stages of their operations.

Roy is consistently ranked as a leading lawyer in the practice of finance and banking by international and local ranking guides.


Representative Experience

  • Representing More Provident and Pension Fund in funding the purchase of Angel Bakery’s main production site in Jerusalem for NIS 400 million
  • Representation of Bain Capital (one of the world’s leading alternative investment firms) in a transaction for the financing of an acquisition of an Israeli hi-tec company.
  • Representing a consortium of Israeli institutional lenders in a syndication transaction to provide a substantial credit line for Keystone, one of Israel’s leading Infrastructure and Energy Investment Funds.
  • Representing each of the Phoenix, Menora-Mivtachim, Ayalon, S. Shlomo, Yesodot, AMPA Capital, Top Capital, Ruby Capital, and other dominant lenders in dozens of transactions for financing of a wide range of real estate projects, including construction projects, urban renewal projects, offices and commercial project, and combination transactions.
  • Representation of the controlling shareholders of Tnuport in obtaining financing for the NIS 880 million acquisition of commercial real estate operator Ispro.
  • Representation of several institutional investors in providing finance in several dozens of millions of euros to Hagag Group for building and operating real-estate projects in Romania.
  • Representing Yelin Lapidot, FIBI, Analyst, and other institutional investors in a NIS 250 million investment in a Top Capital debt fund that specialized in the provision of real estate loans to private borrowers
