Our Practice
EBN’s Banking and Finance team represents banks, financial institutions, funds, and major borrowers in a wide range of finance transactions, including commercial loans, M&A financing, Real-Estate financing, various banking facilities and syndicated loans. In 2021 we were awarded the Banking & Finance Firm of the Year Award by IFLR1000 – a title which attests to our wealth of experience in complex and multi-faceted financings.
We routinely represent international clients in cross-border financing transactions and advise foreign clients on perfecting securities in Israel. We also advise our clients on all regulatory related matters and represent them before relevant regulators such as the Bank of Israel, the Capital Markets, Insurance and Savings Authority and the Securities Authority.
Banks and financial institutions are reassured by our breadth of knowledge, depth of resources and appreciation of the commercial issues they face. Recently, we advised Mizrahi-Tefahot Bank on its strategic acquisition of Union Bank, which is the first merger of two Israeli banks in many years.
Representative Experience
- Representing Mizrahi Tefahot Bank in the NIS1.4 billion merger of Union Bank of Israel, the country’s sixth largest bank, with and into Mizrahi Bank.
- Representing Netafim Ltd., a global leader in smart irrigation solutions, in a refinancing transaction of over USD 660 million from no less than 11 foreign and domestic lenders, to finance its operations in multiple jurisdictions.
- Representation of Bain Capital in a transaction for the financing of an acquisition of an Israeli hi-tec company.
- Representing Hellman & Friedman in obtaining finance for the USD 1.15 billion acquisition of Checkmarx, Ltd.
- Representation of Mizrahi-Tefahot Bank in a transaction for the Euro 60 million financing of Polymer logistics.
- Representation of the controlling shareholders of Tnuport in obtaining financing for the NIS 880 million acquisition of commercial real estate operator Ispro.
- Representing Apax Partners in obtaining financing for its acquisition of Psagot Investment House.
- Representing Meitav Dash in a finance transaction to acquire means of control in the Phoenix Insurance Company.
