Our firm represented Magma Venture Partners, Horizons Ventures, DFJ Venture Capital, Trilogy Equity, Iris Capital and DFJ Tamir Fishman (collectively, the “Funds“), all leading global venture capital funds, in a USD 200 million divestiture of their portfolio company Hola Networks to EMK Capital Partners LLP, a UK private equity fund.
This fairly complex transaction involved a pre-transaction spin off of some of the existing businesses of Hola Networks to a newly formed company that will be owned by the Funds, a unique structuring and a capital reduction that requires court approval.
The Funds were represented by partners Roy Caner and Viva Gayer and by advocates Amichai Perry and Ayelette Dubitzki from our M&A and High-Tech Department.
