Directors acted behind the back of the company – the court ruled that they could be fired
Our firm represented the controlling shareholders of Bar-Rav Industrial Enterprises & Investments, in a motion for interim remedies filed against them and the company.
The motion was filed by directors who were dismissed from the board of the company due to their approach to the authorities contrary to the board decisions, arguing that the company had made misrepresentations to the authorities, while causing grave damage to the company.
The Tel Aviv District Court denied the motion while expressing its unsatisfaction with the directors’ actions, which according to the Court raise doubts as to their commitment to the company’s benefit.
The controlling shareholders were represented by partners Ran Sprinzak and Naama Ehrlich and associate Hadas Persky.
